- Execution rate: 2:1 (Shareholders are entitled to 1 new share for every 2 shares they own)
- Principle of rounding, handling fractional shares and unsubscribed shares:
+ The number of shares issued to existing shareholders will be rounded to the whole number. Those shares are not subject to transfer restriction. Shareholders subject to transfer restriction are entitled to rights. Those shares are not subject to transfer restriction.
+ The fractional shares and remaining shares will be decided by the Board of Directors (BOD) to distribute to parties to bring the most benefits to the Company. Offering price of fractional shares and remaining shares are not lower than 10,000 VND/share. Those shares are subject to transfer restriction within 1 year from the date of offering completion.
+ The Company commits to handling fractional shares, remaining shares in accordance with Article 42 Decree no.155/2020/NĐ-CP dated 31st December 2020 stipulating implementation of a number of Securities Law.
+The Company commits not to distribute shares to Subsidiaries, Subsidiaries in the same Parent Company ensure compliance with Clause 2, Article 195, 2020 Enterprise Law No: 59/2020/QH14: “Subsidiaries are not allowed to invest in buying shares or contribute capital to the parent company; subsidiaries of the same parent company are not allowed to concurrently contribute capital or purchase shares for cross-ownership”;
Example: on record date, shareholder Nguyen Van A who owns 100 shares is entitled to 10 shares (21 x 1):2 = 10,5. According to the rounding principle, he/she is entitled to buy 38 shares.
- Regulations on rights transfer:
+ Time period for right transfer: from 16/01/2024 to 31/01/2024
+ Purchase right can be transferred once only.
- Regulations on subscribed shares:
+ Time period for subscription and payment: from 16/01/2024 to 20/02/2024

Depository members (DMs) are requested to compare the securities holders’ information in the List generated and sent in the form of Certificate of Authorization by VSDC with the information managed by DMs then send Confirmation (Form 03/THQ) in the form of Certificate of Authorization on the accuracy of the list of shareholders (For DMs who have not completed the connection to VSDC’s terminal-based gateway/ISO-based gateway or where the connection has been disrupted, the Confirmation with Certificate of Authorization shall be sent to thongbaoxacnhan@vsd.vn). In case of rejection due to data errors, VSDC's members are requested to send written notice on details of errors for necessary correction.
Deadline for sending confirmation: by 10:30 pm, 10/01/2024.
If DMs do not send confirmation document by the above deadline, VSDC will consider the list provided to DMs by VSDC accurate and confirmed. In case of arising disputes and losses to shareholders, DMs will have to bear all the related responsibilities.
DMs are requested to fully inform this notice to each investor who has deposited the above shares at DMs within 3 working days from the date on the notice.
