Combination of fixed interest rates and floating interest rates, specifically as follows: (a) Interest rate for the 1st interest period: 11.0%/year; and (b) Interest rate for the 2nd interest period: the total of 3.5%/year and reference interest rate, but in no case lower than 11.0%/year; and (c) Interest rate for the 3rd interest period: - Phase 1: From 20/07/2021 inclusive to 01/08/2021 exclusive: 11.48%/year; - Phase 2: From 01/08/2021 inclusive to 20/10/2021 exclusive: 12.90%/year; and (d) Interest rate for the 4th interest period: - Phase 1: From 20/10/2021 inclusive to 01/01/2022 exclusive: 12.90%/year; - Phase 2: From 01/01/2022 inclusive to 20/01/2022 exclusive: the total of 3.5%/year and reference interest rate, but in no case lower than 11 .0%/year; (e) Interest rate for the 5th, 6th, 7th interest period: the total of 3.5%/year and reference interest rate, but in no case lower than 11.0%/year; and (f) Interest rate for the 8th interest period: - Phase 1: From 20/10/2022 inclusive to 01/11/2022 exclusive: 12.95%/year; - Phase 2: From 01/11/2022 inclusive to 20/01/2023 exclusive: 6.0%/year; (g) Interest rate for the 9th interest period: - Phase 1: From 20/01/2023 inclusive to 01/04/2023 exclusive: 12.1%/year; - Phase 2: From 01/04/2023 inclusive to 20/04/2023 exclusive: 3.0%/year; (h) Interest rate for each subsequent interest period after the 9th interest period: 3.0%/year. (i) Not affecting the interest rates specified in items from (a) to (h) above, when any of the following events occur: - By the end of 31/12/2023, the issuer has not signed a Sales Contract with Saigon Glory Co., Ltd. for the entire real estate area for which a purchase deposit is made according to deposit agreement No. 01/2020/TTĐC/TMDV/SDG-SGG dated 31/12/2020; - The issuer and Saigon Glory Co., Ltd. have an agreement on the termination or any party unilaterally terminates or for any other reason terminating the Deposit Agreement No. 01/2020/TTĐC/TMDV/ SDG-SGG 31/12/2020; - The issuer pays bond obligations before the relevant maturity date; - If the issuer violates any payment obligation related to the bond (hereinafter referred to as "adjustment event"), the interest rate applicable to the bond from 01/11/2022 inclusive to the maturity date exclusive (or the date the bond is redeemed before maturity, whether voluntarily or mandatory), will be automatically adjusted to 16%/year and the entire amount that the issuer must pay on the final interest payment date as prescribed in condition 8.3 of the bond conditions will be applied at the interest rate in section (i) for the relevant interest period. For clarity, the adjustment event will be notified by the issuer and/or collateral receiver and/or account manager and/or the depository and/or bondholder's representative and/or any bondholders and/or any other party approved in writing by the bondholders. In particular, "Interest period" means each period lasts 3 consecutive months from the issue date to the maturity date. “Reference interest rate” means the base interest rate applied to large corporate customers for medium-term loans with floating interest rates in Vietnam Dong, with a valuation period every 3 months announced by Techcombank at around 11:00 a.m. (Vietnam time) on the interest rate determination date. “Interest rate determination date” (i) for the second interest period is the 11th working day before the first day of the second interest period, (ii) for phase 2 of the fourth interest period is the 11th working day before 01/01/2022, (iii) for the 5th, 6th, 7th interest periods is the 11th working day before the first day of that interest period.
