. The undistributed shares not yet offered to existing shareholders are the remaining shares due to existing shareholders refusing to buy part or all of the shares in the offering. The Board of Directors will determine criteria and choose to offer to existing shareholders or outside investors with conditions of offering, price, rights and obligations of investors no more favorable than that offered to existing shareholders.
. Handling of the remaining shares not yet fully offered to existing shareholders comply with the provisions of Article 42 of Decree 155/2020/ND-CP dated 21/12/2020, with the provisions of Clause 2, Article 195 of the Enterprise Law No. 59/2020/QH14 dated 17/06/2020 and other relevant provisions of prevailing laws.
. The remaining shares not yet fully offered to existing shareholders when distributed to other investors according todecision of the Board of Directors will be restricted from transfer for 1 year from the date of the offering completion.
. In case the deadline for distributing shares expires according to the provisions of prevailing laws (including the extended period (if any)), if there are still unoffered shares, these shares will be canceled and the Board of Directors will decide to end the offering.

+ Right is transferred once, transferee is not allowed to transfer that right to a third party. Foreign shareholders are not allowed to receive rights from other shareholders to ensure the maximum foreign ownership ratio at the Company according to regulations.
